Termination: Any violation of the terms of this Agreement by Licensee will result in the immediate and automatic termination of this license. 8. Miscellaneous: (a) This Agreement constitutes the entire agreement between the parties and supersedes any prior understandings, written or oral, relating to the subject matter of this Agreement. 9. Governing Law: This Agreement shall be governed by and construed under the laws of the jurisdiction in which Licensor operates.
