By obtaining, accessing, or using the digital graphic image provided by Venus in Shade, the Licensee acknowledges and agrees to the terms and conditions contained in this Agreement. 1. Grant of License: Subject to the terms and conditions of this Agreement, Licensor grants Licensee a non-exclusive, worldwide, royalty-free, perpetual license to use the digital graphic image (the "Licensed Image") for commercial purposes on products. 2. Permitted Uses: (a) Licensee may reproduce, distribute, display, and use the Licensed Image on tangible products for sale, up to a limit of 500 units. (b) Licensee may incorporate the Licensed Image as part of a larger design where it constitutes one of multiple elements if, and only if, the Licensed Image has been significantly altered. 3. Restrictions: (a) Licensee shall not distribute, sell, license, or otherwise make available the Licensed Image in its original digital form or in a format where it can be extracted or accessed as a standalone file. (b) Adding text or minor modifications to the Licensed Image does not constitute a significant alteration and is expressly prohibited as a standalone change for the purpose of resale in digital format. (c) The Licensed Image shall not be used in a manner that is unlawful, defamatory, or infringes on the rights of third parties. 4. Duration: This Agreement is effective immediately upon purchase of the Licensed Image and will continue for the life of the Licensee or until the copyright in the Licensed Image expires, whichever comes first. 5. Ownership and Intellectual Property: The Licensed Image remains the sole property of Venus in Shade. This Agreement does not transfer any title, ownership, or intellectual property rights of the Licensed Image from Licensor to Licensee. 6. Indemnification: Licensee agrees to indemnify, defend, and hold harmless Licensor from any and all claims, liabilities, damages, and expenses (including attorneys' fees) arising from Licensee's use of the Licensed Image in violation of this Agreement. 7. Termination: Any violation of the terms of this Agreement by Licensee will result in the immediate and automatic termination of this license. 8. Miscellaneous: (a) This Agreement constitutes the entire agreement between the parties and supersedes any prior understandings, written or oral, relating to the subject matter of this Agreement. 9. Governing Law: This Agreement shall be governed by and construed under the laws of the jurisdiction in which Licensor operates.
